Terms of Service
1. Agreement
By creating a Sendinvo account you agree to these Terms of Service (“Terms”) between you (or the business you represent) and Unobtrusive Ltd, registered in England and Wales (“Sendinvo”, “we”). If you do not agree, do not use the service.
2. The service
Sendinvo is a cloud-based invoicing and job management platform. We provide tools to create, send, and manage quotes and invoices, to record and track payments, and to manage jobs and book their visits. Features may change over time and we will give reasonable notice of material changes.
3. Your account
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You may not share your account with others or create accounts on behalf of third parties without our written permission.
Who can use Sendinvo. Sendinvo is for businesses, sole traders included. To accept these Terms for a business, or to use Sendinvo for a business of your own, you must be 18 or over. Anyone a business invites to its team must be 16 or over. The business is responsible for the people it invites: for checking they are old enough, and for what they do in Sendinvo.
4. Your plan and your team
A subscription covers everyone you invite to your business, in any role, at no extra cost. Your team is for your own business’s people, and we may contact you if your use is far outside that.
If we change our prices or plans, a subscription taken out before the change keeps its plan and price for as long as it continues.
Free access. We may give some businesses free access to Sendinvo. It is free until we end it, and we will always give you at least 30 days’ notice before you would need a subscription to keep sending invoices. Apart from paying, these Terms apply to free access as to any other account.
5. Acceptable use
You may use Sendinvo only for lawful business purposes. You must not use the platform to: issue fraudulent invoices; process transactions that are illegal or prohibited by card network rules; attempt to reverse-engineer, scrape, or overload the service; misrepresent your identity or business; or record people without their knowledge.
6. Online payments
Pay Now links are processed by Stripe. When your clients pay online, by card or Pay by Bank, the money goes directly to your connected Stripe account. Sendinvo never holds it. Your use of Stripe is governed by the Stripe Connected Account Agreement.
7. Intellectual property
Sendinvo and its underlying technology are owned by Unobtrusive Ltd. You keep all rights to the content and business data you create or upload, such as your documents, photos, files and voice notes. You grant us a limited licence to store and process that data solely to provide the service.
8. Availability
We aim for high availability but do not guarantee uninterrupted access. We will give reasonable advance notice of planned maintenance. We are not liable for losses caused by downtime, data loss, or service interruptions.
9. Limitation of liability
To the maximum extent permitted by law, Unobtrusive Ltd’s total liability to you for any claim arising from your use of Sendinvo is limited to £100, or to what your business paid us in the 12 months before the claim if that is more. We are not liable for indirect, consequential, or incidental losses, lost profits, or loss of data.
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow us to limit or exclude.
10. Termination
Closing your account. You may delete your account at any time, from Profile in the app or on the web. Deleting it is immediate and cannot be undone: your account goes, with every business you own and everything in them, as our Privacy Policy sets out under “Deleting your account”. Before you delete it, you can use Export everything to keep a copy of each business you own.
When a subscription ends. Nothing is deleted because a free trial or subscription ends. You can still sign in and read everything, and an owner or admin can still export it. Sending invoices, and some other features, need a subscription.
If we terminate your account. We may suspend or terminate an account that breaks these Terms. For a material breach we may do so without notice. When we terminate an account, you will have 30 days to export your data before it is deleted.
11. Data processing
This section is the contract UK data protection law asks for between your business and us (Article 28 of the UK GDPR).
Who is responsible. Your business is the controller of the personal data it keeps in Sendinvo about its clients, the people it deals with there, and its own team. We process that data on your business’s behalf, as its processor. Your business is responsible for having a lawful reason to keep that data and for telling the people it is about, including anyone it records in a voice note, and it can give us instructions, object to a new sub-processor, and check what we do, as this section sets out.
What we process, and for how long. We process it to provide Sendinvo’s invoicing and job management service, for as long as your business uses Sendinvo. It is names, email addresses, phone numbers, and addresses; quotes, invoices, credit notes, and the payments recorded against them; jobs, their visits, notes, photos, files, and voice notes with their transcripts; and the record of who on your team did what. The people it is about are your business’s clients, the people at them, and the people on your team.
Only on your instructions. Your business’s use of Sendinvo, and these Terms, are its instructions to us. We process the data only to follow them, unless the law requires otherwise, and then we will tell you first unless the law forbids that. Those instructions include our sub-processors handling the data outside the UK, as our Privacy Policy describes, under the safeguards UK data protection law requires. If we think an instruction breaks data protection law, we will tell you straight away.
Confidentiality and security. Everyone we allow to process the data is bound to keep it confidential. We protect it as Article 32 asks, including encryption whenever it travels, access to your accounting software kept encrypted, passwords and sign-in tokens stored as one-way hashes, and access limited to the people and systems that need it.
Sub-processors. You give us general authorisation to use the sub-processors listed in our Privacy Policy under “Who we share data with”. Before a new sub-processor starts, we update that list and email your business’s owner, and you may object; if we can’t meet your objection, you may close your account. Each sub-processor is bound by data protection terms that protect the data as this section does, and we remain responsible to your business for what they do with it. Accounting software your business connects is its own provider, not our sub-processor, and so is a calendar app someone on your team adds their calendar link to.
Helping your business. As far as we reasonably can, given what Sendinvo is, we help your business answer requests from the people the data is about, for example by letting you correct, export, or delete it, and meet its own duties on security, personal data breaches, data protection impact assessments, and consulting the Information Commissioner.
A personal data breach. If we become aware of a personal data breach affecting your business’s data, we will tell your business’s owner without undue delay, with what we know about it.
At the end. An owner or admin can take a copy of the data at any time with Export everything. When your business is deleted, with its owner’s account or on its own, we delete the data, unless the law requires us to keep it, and copies in our backups go as those backups expire.
Showing we comply. We will give your business the information it reasonably needs to show that this section is met, and allow for and contribute to reasonable audits. Ask at privacy@sendinvo.com.
12. Governing law
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
